SG aprova aquisição de participação acionária da Farmax por dois fundos de investimentos

ASuperintendência-Geral do Conselho Administrativo de Defesa Econômica (SG/Cade) aprovou a aquisição, pelos FIPs Aquamarine II Multiestratégia e Vidya I, de ações da Farmax Distribuidora S.A. Antes da operação, essas ações eram detidas pelo FIP Vinci e por pessoa física. A decisão foi proferida por meio de despacho assinado nesta segunda-feira (9/9).
A Farmax Distribuidora integra o Grupo Farmax fabricante de produtos de saúde, higiene pessoal, beleza e bem-estar, com atividades em todo o território nacional.
A SG analisou os efeitos concorrenciais da operação nesses mercados no cenário nacional e não se identificaram sobreposições horizontais tampouco integrações verticais efetivas entre as Requerentes nos referidos mercados. A SG concluiu que a operação se tratava de mera substituição de agente econômico, o que proporcionou sua aprovação sem restrições.
Se o Tribunal do Cade não aprovar um pedido de avocação ou não houver interposição de recurso de terceiros interessados no prazo de 15 dias, a contar da publicação da decisão no Diário Oficial da União, a decisão da SG terá caráter terminativo e a operação estará aprovada em definitivo pelo órgão antitruste.

However, the Competition and Markets Authority (CMA) cannot guarantee that the decision will be announced on or before this current deadline, as the deadline of a given case may change during the merger assessment process due to different reasons.

10 September 2024: The CMA is considering whether it is or may be the case that this transaction, if carried into effect, will result in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002 and, if so, whether the creation of that situation may be expected to result in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.
The CMA is issuing this preliminary ‘invitation to comment’ to allow interested parties to submit to the CMA any initial views on the impact that the transaction could have on competition in the UK. This invitation to comment is the first part of the CMA’s information-gathering process, in advance of the CMA’s formal investigation starting.
The CMA may proactively contact companies and organisations that are active in the markets affected by the Merger, or have valuable insights or evidence that could assist the CMA’s investigation.
To assist it with this assessment, the CMA invites comments on the transaction from any interested party.
