ASuperintendência-Geral do Conselho Administrativo de Defesa Econômica (SG/Cade) aprovou o aditamento do acordo de joint venture celebrado entre Delta e Latam com objetivo de aumentar sua abrangência a nível geográfico e dos produtos incluídos. O despacho aprovando a operação foi publicado no Diário Oficial da União desta terça-feira (16/01).
O acordo original, aprovado em 2020, consiste num arranjo contratual de longo prazo com objetivo de combinar as malhas aéreas complementares da Delta nos Estados Unidos e no Canadá e da Latam na América do Sul, permitindo que as companhias comercializem serviços de transporte aéreo integrados, como um único agente. Nesse sentido, o aditamento aprovado pela autarquia consiste em incluir o Equador entre os países atendidos pela joint venture e o transporte aéreo de carga em aviões de carga no escopo dos serviços abrangidos pelo acordo.
A Latam é uma sociedade anônima de capital aberto, chilena, com subsidiárias no Brasil, Chile, Colômbia, Equador, Paraguai e Peru, que atua majoritariamente nos mercados de transporte aéreo de passageiros e de carga. Já a Delta também é uma sociedade anônima de capital aberto, norte-americana, que atua majoritariamente nos mercados de transporte aéreo de passageiros e de carga. No Brasil, a empresa opera somente rotas internacionais entre o Brasil e os EUA.
Em sua análise, a SG constatou a presença de rivalidade e de capacidade ociosa no mercado relevante de transporte aéreo de carga na rota EUA-Brasil e concluiu ser improvável o exercício unilateral de poder de mercado pelas empresas requerentes, decidindo pela aprovação sem restrições.
Se o Tribunal do Cade não avocar os atos de concentração para análise ou não houver interposição de recurso de terceiros interessados, no prazo de 15 dias, as decisões da Superintendência-Geral terão caráter terminativo e as operações estarão aprovadas em definitivo pelo órgão antitruste.
AdC condena cartel em concursos públicos em hospitais

A AdC condenou cinco empresas a uma coima total de €6.889.300 por terem participado num cartel em concursos públicos para prestação de serviços de telerradiologia a hospitais e centros hospitalares no território nacional, no âmbito do processo designado PRC/2021/3.
A investigação
Perante indícios de uma prática restritiva da concorrência nos mencionados concursos públicos, a AdC determinou a abertura de uma investigação, tendo em setembro e outubro de 2021, efetuado operações de busca e apreensão, com vista a obter prova dos comportamentos em causa.
Da investigação da AdC resultou que as cinco empresas definiam conjuntamente quais as empresas que, em procedimentos de contratação pública para a prestação de serviços de telerradiologia, iriam apresentar as propostas vencedoras, iludindo os resultados dos concursos.
As empresas envolvidas no cartel combinavam entre si os preços que futuramente apresentariam a concurso, de modo a garantir que a melhor proposta seria a da empresa por elas definida. Acordavam ainda que as demais seriam excluídas do concurso como consequência da apresentação de propostas que incumpriam critérios de carácter eliminatório.
Os contactos estabelecidos permitiram às empresas envolvidas repartir entre si o mercado nacional da prestação de serviços de telerradiologia e implementarem estratégias tendentes a um aumento generalizado dos preços, lesando os hospitais e centros hospitalares contratantes.
Os serviços de telerradiologia
A telerradiologia permite a realização de exames de diagnóstico num estabelecimento de saúde, sem a presença física de um médico radiologista ou neurorradiologista. Os médicos especialistas recebem posterior e remotamente as imagens e resultados dos exames de diagnóstico realizados nos estabelecimentos de saúde, procedem à sua interpretação e elaboram o respetivo relatório, que depois transmitem ao estabelecimento de saúde em causa.
Estes serviços são prestados por empresas a entidades do SNS, através de procedimentos de contratação pública. O recurso à telerradiologia é especialmente relevante nos casos em que os estabelecimentos de saúde não possuem equipas que integrem médicos especialistas em radiologia e/ou neurorradiologia para dar resposta às necessidades locais, permitindo suprir tais carências e auxiliar na interpretação de diagnósticos complexos.
O processo
Duas das empresas envolvidas decidiram colaborar com a AdC e acederam ao procedimento de transação, antes da decisão final. Ao fazê-lo, as empresas reconhecem a participação no cartel, pagam voluntariamente a coima e abdicam da litigância judicial, concluindo o processo e beneficiando de uma redução da coima.
Quanto às restantes três empresas, a AdC emitiu a Nota de Ilicitude (ou nota de acusação) em novembro de 2022, tendo dado a oportunidade a todas as empresas de exercerem os seus direitos de audição e defesa, o que foi devidamente considerado na decisão final.
As coimas
O valor total das coimas aplicadas nesta decisão final ascende a €6.889.300,00, correspondendo €5.038.200,00 e €202.300,00, respetivamente, às sanções aplicadas às duas empresas que aderiram ao procedimento de transação.
As coimas impostas pela AdC são determinadas pelo volume de negócios das empresas sancionadas nos mercados afetados nos anos da prática. Além disso, de acordo com a Lei da Concorrência, as coimas não podem exceder 10% do volume de negócios da empresa no ano anterior à decisão de sanção.
Ao fixar as coimas, a AdC tem em conta a gravidade e a duração da infração, o grau de participação das empresas na infração, a situação económica das empresas, entre outras circunstâncias, de acordo com as melhores práticas internacionais (ver Linhas de Orientação da AdC sobre metodologia a aplicar na aplicação de coimas).
Inibição de participação em procedimentos de contratação pública
Em face da gravidade das infrações e tendo em conta as exigências de prevenção deste tipo de práticas, a AdC aplicou, ainda, uma sanção acessória às três empresas agora condenadas.
A sanção inibe as empresas de participar, por um período de 1 ano, em procedimentos de formação de contratos de natureza pública, cujo objeto abranja a prestação de serviços de telerradiologia, na totalidade ou em parte do território nacional.
As decisões sancionatórias da AdC podem ser objeto de recurso para o Tribunal da Concorrência, Regulação e Supervisão. O recurso não suspende a execução das coimas.
Prioridade ao combate a cartéis
O combate a cartéis, em particular no âmbito da contratação pública, tem prioridade máxima para a AdC, atendendo aos prejuízos que invariavelmente causam às famílias, aos consumidores e, neste caso, ao Estado forçando-o a pagar preços mais elevados e reduzindo a qualidade e diversidade dos bens e serviços à sua disposição.
A violação das regras de concorrência não só reduz o bem-estar dos consumidores, como prejudica a competitividade das empresas, penalizando a economia.

Case information
On 7 March 2023, the CMA launched an investigation under Chapter I of the CA98 into suspected breaches of competition law. The investigation concerns suspected anti-competitive conduct in relation to the supply of fragrances and fragrance ingredients for use in the manufacture of consumer products such as household and personal care products.
In January 2024, the CMA extended the investigation to include suspected unlawful coordination by Firmenich International SA, Givaudan SA and International Flavours & Fragrances Inc involving reciprocal arrangements relating to the hiring or recruitment of certain staff involved in the supply of fragrances and/or fragrance ingredients.
No assumption should be made at this stage that the CA98 has been infringed. The CMA has not reached a view as to whether there is sufficient evidence of an infringement of competition law for it to issue a statement of objections to any of the parties under investigation. Not all cases result in the CMA issuing a statement of objections.

The CMA considers that there are reasonable grounds for believing that the undertakings offered by the Parties, or a modified version of them, might be accepted by the CMA under the Enterprise Act.

Consultation description
We are publishing an Invitation to Comment concerning a potential review of Part 3, article 29 and Part 1 of Schedule 4 of the Home Credit Market Investigation Order 2007. The CMA has identified a possible change in circumstances indicating that a review of those parts of that remedy may be appropriate.
The CMA is not proposing to review the remainder of the Order, which remains outside the scope of this consultation.
The CMA invites comments from stakeholders on the possible change of circumstance identified in the Invitation to Comment document, and on whether carrying out a review should be considered to be an administrative priority for the CMA.
The information received will assist the CMA in reaching a decision on whether or not to launch a review of those parts of the Order.
Respondents should provide their views supported with relevant evidence where possible, in writing to the CMA at the address below.
The CMA requests that all submissions be accompanied by a non-confidential version which the respondent would be willing to have published on the CMA website in the event that a formal review is launched.
The CMA has today published a Notice of Suspension of Part 3, Article 29, and Part 1 of Schedule 4 of the Home Credit Market Investigation Order 2007 pending the outcome of this Invitation to Comment and any subsequent review.

- Un grupo relevante de CC. AA. ya cumplía con las indicaciones de la CNMC al definir los programas de ayudas del Plan Moves III, pero diez comunidades impusieron requisitos restrictivos.
- Tres de ellas (Madrid, Cantabria y Asturias) han implementado las recomendaciones de la CNMC.
- La implementación de las recomendaciones de la CNMC por parte de todas las CC. AA. podría suponer un incremento potencial de 67.150 empleados, 1.997 nuevos distribuidores, la matriculación adicional de 3.959 vehículos ecológicos y la reducción de precio de estos vehículos (en torno a 1.900 euros por vehículo con etiqueta Cero Emisiones y alrededor de 1.600 euros por vehículo con etiqueta ECO).
La CNMC ha publicado el Estudio de evaluación de impacto de las recomendaciones emitidas en el informe relativo a las ayudas concedidas mediante el Plan Moves III, destinado a fomentar la adquisición de vehículos eléctricos y la implantación de la infraestructura necesaria para su recarga.
El sector del automóvil supone alrededor del 10 % del PIB de la economía española (considerando efectos tanto directos como indirectos –distribución, seguros, entidades financieras, etc.–). Además, el Plan Moves III afecta directamente a la distribución de vehículos ecológicos, clave para el cumplimiento de los objetivos medioambientales.
Restricciones a la competencia
El Plan Moves III se articula a través de una regulación nacional (Real Decreto 266/2021) que canaliza los fondos a las comunidades autónomas. Cada una de estas ha establecido con posterioridad los requisitos para acceder a las subvenciones a través de sus respectivas convocatorias.
Así, diez comunidades autónomas impusieron requisitos de oferta que reducían la competencia. En concreto, que la compraventa del vehículo debía producirse en un concesionario situado en el territorio de la comunidad autónoma cuya ayuda se solicitara. Este requisito fragmenta el mercado nacional y limita la competencia en la distribución de vehículos ecológicos, ya que los compradores pierden incentivos para comprar los vehículos fuera de la comunidad autónoma donde residen.
En el informe PRO/CNMC/003/21, la CNMC recomendaba a las CC. AA. evitar las exigencias territoriales sobre los intermediarios de las ayudas del Plan Moves III y permitir la tramitación de la ayuda directamente por parte de los compradores ante las Administraciones correspondientes, sin tener que tramitar el expediente a través del concesionario.
En la actualidad existen tres comunidades autónomas (Madrid, Cantabria y Asturias) que han implementado las recomendaciones de la CNMC.
Impacto potencial de las recomendaciones
Las recomendaciones de la CNMC buscan corregir fallos de mercado como los mencionados anteriormente. En este estudio se analizan los beneficios potenciales sobre la economía española en caso de que todas las CC. AA. implementasen las recomendaciones de la CNMC.
Según la metodología empleada (1), la implementación de estas recomendaciones podría suponer en el mercado de la distribución de vehículos a motor en España un incremento potencial de 67.150 empleados, 1.997 nuevos distribuidores, más de 267 millones de euros en la facturación de los distribuidores de vehículos ecológicos, la matriculación adicional de 3.959 vehículos ecológicos, y una potencial reducción del precio de 1.922 euros por vehículo con etiqueta Cero Emisiones y de 1.585 euros por vehículo con etiqueta ECO. Además de estos efectos sobre el mercado específico del vehículo ecológico, existe un potencial impacto sobre otros sectores de la economía general (fabricación de vehículos a motor, industria auxiliar del automóvil, mercado de seguros, servicios financieros, o la instalación de puntos de recarga, entre otros).
La CNMC es el organismo independiente regulador de los mercados que garantiza y promueve una competencia efectiva. En virtud de lo dispuesto en el apartado primero del artículo 5 de la Ley 3/2013, de 4 de junio, de creación de la CNMC, tiene entre sus funciones la promoción de una competencia efectiva en los mercados mediante, entre otros, la realización de estudios y trabajos de investigación en materia de competencia, así como informes generales sobre sectores económicos.

Federal Trade Commission Seeks Public Comments on Improvements to the EnergyGuide Labeling Rule

The Federal Trade Commission is seeking public comments on proposed improvements to the Energy Labeling Rule to modernize and expand its coverage to help reduce energy costs for consumers.
The FTC’s Energy Labeling Rule requires manufacturers to attach labels to major home appliances and other consumer products to help consumers compare the energy usage and costs of competing models. The labels help consumers anticipate their energy usage and avoid costly surprises after they have bought a product.
In an advance notice of proposed rulemaking (ANPR) announced in October 2022, the FTC requested comments on potential improvements to the rule, including whether it should add new consumer product categories to the labeling program, change the rule’s labeling requirements to match consumer shopping patterns and streamline existing requirements.
After considering the comments received, the FTC is now seeking comments on a notice of proposed rulemaking (NPRM) to help develop a final rule that would formally implement the proposed updates. The NPRM addresses four basic issue categories related to the energy labeling program: 1) new product labels for air cleaners, clothes dryers, miscellaneous refrigeration products, and portable electric spas; 2) changes to labels for several existing products; 3) revisions to the current requirements for affixing labels on showroom models; and 4) several other minor amendments to improve the rule. Specifically:
- The NPRM proposes new product labels for previously unlabeled air cleaners, clothes dryers, miscellaneous refrigerator products, and portable electric spas;
- Seeks comment on new issues commenters raised regarding existing labels for clothes washers, televisions, and heating products including water heaters, pool heaters, and boilers;
- Proposes several amendments to match label format and location to consumer shopping patterns. It would require manufacturers to affix labels to large appliances prepared for showroom display only. For all other such units, manufacturers could include the label with the product in other ways, such as in the literature bag. In addition, retailers would be responsible for ensuring that units displayed in showrooms bear a label; and
- Proposes minor amendments addressing a range of miscellaneous issues such as compliance dates for ranges, television data updates, and format and placement requirements for labels.
The Commission vote approving publication of the notice in the Federal Register notice was 3-0. The NPRM will be published in the Federal Register shortly. Once it has been published, consumers can submit comments electronically. They also may submit comments in writing by following the instructions in the “Supplementary Information” section of the Federal Register notice.
The Commission is publishing a separate Federal Register notice containing routine updates to EnergyGuide labels for televisions. The vote approving publication of that notice was 3-0.
