CMA sets out approach to new digital markets regime

The Competition and Markets Authority (CMA) has today published an overview of how it intends to operate the new digital markets competition regime as currently proposed by the Digital Markets, Competition and Consumers (DMCC) Bill.   

The document, which comes in response to a request from UK government ministers, details the principles that will guide the CMA’s approach to its new role. This will include tailoring the CMA’s actions to the specific problems that are identified; focusing on where it can have the most impact for people, businesses, and the UK economy; engaging with a wide range of stakeholders; and operating with transparency.

The CMA also plans to convene groups representing UK consumers, businesses and tech professionals that will be consulted and help prioritise its work. This is in addition to the 9 tech experts appointed last year, who have been assisting the CMA in preparing for the new regime.  

The document provides an overview of the outcomes the CMA will seek to achieve and the issues it will seek to address and sets out 11 principles underpinning how the CMA will carry out its new digital markets role.

The digital markets competition regime will only apply to firms designated by the CMA, following an evidence-based investigation and public consultation, as having Strategic Market Status (SMS) in relation to one or more digital activities. The CMA expects to start 3 to 4 SMS investigations within the first year of the new regime coming into force. Once a firm is designated with SMS, the CMA can then take action to address or prevent problems.

If the CMA finds businesses are using their status to gain an unfair competitive advantage, it will take targeted and proportionate action to address the behaviour. In some cases, this will mean imposing conduct requirements on firms in relation to the digital activity for which they have been designated. These could, for example, include:

  • preventing SMS firms from preferencing their own products and services, or by making SMS firms provide competitors with greater access to data and functionality.
  • requiring SMS firms to allow the products and services of other firms to work with their own, or ensuring SMS firms provide their users with an effective choice.
  • mandating SMS firms to trade on fairer terms or requiring them to increase transparency with respect to aspects of their algorithms.

Widespread stakeholder engagement will be critical to the success of the new regime and the publication of the overview document coincides with a senior CMA delegation visiting the US West Coast to meet a wide range of major digital firms to explain how the new digital markets regime will operate and gain a deeper understanding of their businesses and operating environments.

Speaking at the annual Concurrences ‘Tech Antitrust’ Conference in Silicon Valley, Sarah Cardell – Chief Executive of the CMA – is expected to say:

Competitive digital markets are a key driver for investment and innovation, supporting the growth of the UK economy, and bringing huge benefits to UK businesses and consumers. The new digital markets competition regime will help ensure that tech challenger firms can bring forward genuinely disruptive and exciting new innovations that will create great new products for consumers. The new powers it will grant the CMA are substantial and we are committed to taking a targeted, evidence-based and proportionate approach to implementing them. 

Today’s overview document not only provides clarity for UK parliamentarians, but also for digital firms and wider stakeholders about the approach the CMA intends to take. To ensure the new regime operates as effectively as possible, it’s crucial that we continue to engage widely with a range of stakeholders, from the major tech players to challengers and users.

Once Parliament passes the Digital Markets, Competition and Consumers Bill, we will release more detailed draft guidance for consultation. This will mean that everyone is clear about how we intend to operate the regime and has the opportunity to provide their views.

On 4 January, Department for Business and Trade (DBT) Minister Hollinrake and Department of Science, Innovation and Technology (DSIT) Minister Bhatti wrote to the CMA asking it to set out plans and proposed timelines to implement the new digital markets regime. In response, the CMA’s overview document has been published on its website.

  3. As set out in the Bill, for any business to be able to be designated with strategic market status it must have:
    • Substantial and entrenched market power in a digital activity linked to the United Kingdom.

    • Global turnover of more than £25 billion or UK turnover of more than £1 billion.

12 January 2024: The SAU has published its report providing advice to BCC concerning the proposed subsidy for the Mourne Mountain Gateway Project. The report sets out our evaluation of BCC’s Assessment of Compliance of its proposed subsidy with the requirements set out in the Subsidy Control Act 2022.

Request from BCC

27 November 2023: The SAU has accepted a request for a report from Belfast City Council (BCC) in relation to the proposed subsidy for the Mourne Mountain Gateway Project. This request relates to a Subsidy of Particular Interest.

The SAU will prepare a report, which will provide an evaluation of the BCC assessment of whether the subsidy complies with the subsidy control requirements (Assessment of Compliance). The SAU will complete its report within 30 working days.

Information about the subsidy provided by BCC

Belfast City Council, as Accountable Body for the Belfast Region City Deal, is proposing to contribute public funding to the Mourne Mountain Gateway Project, a new visitor attraction that will consist of a gondola style cable car from Donard Park in Newcastle, Co. Down, to a proposed new visitor centre at Thomas Quarry. The beneficiary of the subsidy is Newry, Mourne and Down District Council (NMDDC), which is the project sponsor.

The estimated total value of the project is £44 million, which comprises a subsidy of £30 million from BCC and a further £14 million from NMDDC. BCC will be receiving funding for this project from the Department for Economy under the agreed terms of the Belfast Region City Deal signed in December 2021.

The specific policy objective that this subsidy aims to address is to sustainably grow the tourism market in Northern Ireland (NI) by encouraging more visitors to NI, who stay longer and spend more across the region. Without providing a subsidy the market alone will not deliver visitor attractions of sufficient scale across the region to meet the policy objective.

The subsidy will be provided to NMDDC over the delivery period of the project (2024 to 2029) and will be conditional based on the terms and conditions of a Contract for Funding that will be signed between the Department for Economy and the Accountable Body and a Funding Agreement that will be signed between the Accountable Body and NMDDC.

Elaborar y difundir criterios orientativos de honorarios para la tasación de costas debe tener un carácter excepcional

  • El Colegio de Ingenieros de Caminos, Canales y Puertos ha remitido una consulta a la CNMC sobre esta materia.
  • Los honorarios de los ingenieros deben fijarse libremente —la normativa prohíbe a los Colegios profesionales los baremos o recomendaciones—.
  • Excepcionalmente, se permiten los criterios orientativos, pero siempre de acuerdo con la doctrina del Tribunal Supremo y de la CNMC.

 La Comisión Nacional de los Mercados y la Competencia (CNMC) ha analizado cuestiones relativas a la elaboración y difusión, con carácter excepcional, de los criterios orientativos para la tasación de costas, a raíz de una consulta del Colegio de Ingenieros de Caminos, Canales y Puertos (INF/CNMC/496/23).

Los honorarios de los ingenieros deben fijarse libremente. La Ley 2/1974, de 13 de febrero, sobre Colegios Profesionales (LCP) y la Ley 15/2007, de 3 de julio, de Defensa de la Competencia (LDC) prohíben a los Colegios profesionales cualquier baremo o recomendación sobre dichos honorarios, con la única excepción de la elaboración de criterios orientativos para la tasación de costas.

Consideraciones

Desde un punto de vista meramente consultivo, y sin perjuicio de las competencias sancionadoras de la CNMC (véase, por ejemplo, el expediente sancionador S/DC/0587/16 COSTAS BANKIA), se señala lo siguiente:

  • Elaboración de criterios orientativos de honorarios: la LCP no establece que sea obligatorio elaborar criterios orientativos, sino que se trata de una posibilidad para los Colegios profesionales y se limita exclusivamente a la tasación de costas.
  • Factores que considerar para elaborar los criterios: los Colegios profesionales deben valorar este aspecto de acuerdo con la doctrina del Tribunal Supremo (es necesario considerar una pluralidad de factores y ponderarlos adecuadamente). Además, no debe incluirse ninguna referencia numérica o cuantitativa —tarifas, porcentajes, coeficientes, escalas o valores de referencia—.
  • Órgano de aprobación: la CNMC no es competente para valorar el órgano que debe aprobar los criterios orientativos.
  • Publicación de los criterios: no entrañaría, a priori, riesgos para la competencia si son auténticos criterios orientativos a los exclusivos efectos de la tasación de costas. En todo caso, cualquier difusión, dentro o fuera del Colegio, no debe contener referencias numéricas o cuantitativas. Tampoco deberían publicarse los informes de tasación remitidos por el Colegio profesional al órgano judicial en el supuesto de impugnación de la tasación.

Cambio en los estatutos

La CNMC insta al Colegio a adaptar sus estatutos y eliminar, como una de sus competencias, la aprobación de baremos de honorarios de carácter orientativo.

La distinción entre baremos (prohibidos por la LCP y la LDC) y criterios orientativos (permitidos) es de capital importancia.

También recomienda a los colegios profesionales que autoevalúen los criterios orientativos de acuerdo con la doctrina del Tribunal Supremo y de la CNMC.

Este informe se emite a solicitud del Colegio de Ingenieros de Caminos, Canales y Puertos, en ejercicio de las competencias que le atribuye el artículo 5.2 de la Ley 3/2013, de 4 de junio, de creación de la Comisión Nacional de los Mercados y la Competencia.

La CNMC propone medidas para dinamizar el mercado de neumáticos y sus residuos

  • El Proyecto de Real Decreto actualiza la normativa sobre neumáticos y sus residuos y se refiere, entre otros aspectos, a la regulación de las obligaciones de información de los productores, el régimen de garantías o los sistemas de responsabilidad ampliada del productor.
  • La CNMC recomienda que los productores puedan participar simultáneamente en varios sistemas colectivos de responsabilidad ampliada del productor.

La Comisión Nacional de los Mercados y la Competencia (CNMC) ha analizado el proyecto normativo (PRD) sobre los neumáticos y la gestión de sus residuos (IPN/CNMC/029/23).
 
Los neumáticos fuera de uso (NFU) son aquellos neumáticos que se han convertido en residuos, es decir, que han sido desechados. La gestión de este tipo de residuo se regula por una normativa de 2005 que ahora se actualiza y se adapta a la Directiva UE sobre residuos de 2018 y a la Ley nacional de residuos y suelos contaminados de 2022.
 
Responsabilidad ampliada del productor (RAP)
La responsabilidad ampliada del productor (RAP) es una figura cuyo objetivo es minimizar los efectos que las actividades comerciales e industriales producen en el medioambiente. Mediante la RAP se traspasa a los fabricantes el coste de la recolección y tratamiento de los residuos que generarán los productos que ponen en el mercado. 

Los Sistemas Colectivos de Responsabilidad Ampliada del Productor (SCRAP) son organizaciones sin ánimo de lucro que gestionan los residuos.
 
Análisis de la CNMC
La CNMC valora positivamente algunos elementos relativos a los sistemas colectivos de responsabilidad ampliada del productor (SCRAP) como la autorización única en todo el territorio nacional, la posibilidad de cambiarse a otro en cualquier momento del año o las previsiones para prevenir potenciales intercambios de información entre productores.

Sin embargo, la CNMC realiza las siguientes recomendaciones:

  • Incluir los objetivos de preparación para reutilización, reciclaje y valorización energética, así como los plazos para su cumplimiento.
  • Considerar la posibilidad para un productor de participar en varios sistemas colectivos de responsabilidad ampliada del productor (RAP) a la vez.
  • Justificar el umbral establecido para obligar a las empresas a contar con un plan empresarial de prevención y ecodiseño.
  • Valorar establecer la validez indefinida de las autorizaciones de SCRAPs, con especial atención a que las potenciales especificaciones autonómicas no limiten injustificadamente el mercado nacional.
  • Fijar con precisión el contenido de los convenios con las administraciones públicas para no introducir prestaciones propias de los contratos, así como reforzar las obligaciones de publicación.
  • Respetar la normativa de competencia por los integrantes de los SCRAPs y por terceros operadores durante los intercambios de información.

Este informe se emite a solicitud del Ministerio para la Transición Ecológica y el Reto Demográfico, en ejercicio de las competencias que le atribuye el artículo 5.2 de la Ley 3/2013, de 4 de junio, de creación de la Comisión Nacional de los Mercados y la Competencia.

Rachat de magasins Casino par Intermarché : l’Autorité autorise l’opération sous réserve de la cession de trois magasins

Le 13 juillet 2023, Intermarché a notifié à l’Autorité de la concurrence son projet d’acquisition de 61 magasins de distribution à dominante alimentaire sous enseigne du groupe Casino.

Afin de tenir compte de la situation économique difficile des magasins, l’Autorité a accordé au groupe Intermarché, à sa demande, une dérogation à l’effet suspensif du contrôle des concentrations [1]. Conformément au régime applicable, cette dérogation, qui a permis à Intermarché de réaliser l’opération sans attendre la décision de l’Autorité, ne préjugeait en rien de la décision finale prise par l’Autorité, qui à l’issue de son instruction et de son analyse concurrentielle pouvait remettre en cause certaines des acquisitions en considérant que des remèdes seraient nécessaires. Dans ce cadre, Intermarché a réalisé l’opération en septembre 2023.

Après examen attentif de l’opération de rachat, l’Autorité a autorisé le rachat des magasins cibles sous réserve d’engagements présentés par Intermarché incluant la cession de trois magasins.

FTC Announces Tentative Agenda for January 18 Open Commission Meeting

Today, Federal Trade Commission Chair Lina M. Khan announced that an open meeting of the Commission will be held virtually on Thursday, January 18, 2024. The open meeting will commence at 11 a.m. ET and will begin with time for members of the public to address the Commission.

Presentation on Proposed Changes to the Children’s Online Privacy Protection Rule:

Staff from the FTC’s Division of Privacy and Identity Protection will provide an overview of the proposed changes to the COPPA Rule, which include requiring a separate opt-in for targeted advertising, increasing accountability for operators using the support for internal operations exception, imposing limits on “nudging” children without parental consent, and strengthening the data security and data retention requirements.

Presentation on Combating Auto Retail Scams Rule (CARS Rule): Staff from the FTC’s Division of Financial Practices will provide an overview of the new CARS Rule, which targets bait-and-switch tactics and junk fees, and includes clear protections for military members. 

At the start of the meeting, Chair Khan will offer brief remarks and will then invite members of the public to share feedback on the Commission’s work generally and bring relevant matters to the Commission’s attention. Members of the public must sign up for an opportunity to address the Commission virtually at the January 18 event.

Each commenter will be given two minutes to share their comments. Those who cannot participate during the event may submit written comments or a link to a prerecorded video through a webform. Speaker registration and comment submission will be available through Tuesday, January 16, 2023 at 8 p.m. ET.

A link to the event will be available on the day of the event, shortly before the meeting starts via FTC.gov. The event will be recorded, and the webcast and any related comments will be available on the Commission’s website after the meeting. The Commission retains discretion to make public comments available following the event on ftc.gov.

La CNMC sanciona a Cemesa Amarres Barcelona y Mooring & Port Services con 80.000 euros

  • En julio de 2021, crearon Amarres de Barcelona, pero tenían que cumplir varios compromisos para mantener la competencia en el puerto.
  • Entre otros, no empeorar las condiciones comerciales y no incrementar los precios anteriores de los servicios de amarre y desamarre. 
  • Entregaron con más de un mes de retraso la información que permite a la CNMC verificar anualmente dicho compromiso.

La CNMC ha multado con un total de 80.000 euros a Cemesa Amarres Barcelona, S. A. y Mooring & Port Services, S. L. por incumplir uno de los compromisos adquiridos en 2021 cuando crearon Amarres de Barcelona S. L JV, actualmente la única compañía de amarres del puerto de Barcelona (SNC/DC/065/23).

Cemesa y Mooring presentaron y aceptaron voluntariamente varios compromisos ante la CNMC (nota de prensa). Entre otros, no empeorar las condiciones comerciales y no incrementar los precios anteriores a la creación de Amarres de Barcelona. Estos solamente podrían actualizarse anualmente y de manera justificada [1].

Retraso en enviar la información

En los primeros 15 días de cada año, las compañías estaban obligadas a enviar un informe anual con los precios de los servicios y las copias confidenciales de los contratos renovados en 2022. Sin embargo, lo hicieron con más de un mes de retraso. Esa verificación es esencial para que la CNMC compruebe y vigile la efectividad del compromiso.

Incumplir los compromisos de una operación de concentración, de acuerdo con la Ley de Defensa de la Competencia (LDC), supone una infracción muy grave en virtud de su artículo 62.4.c. En consecuencia, la CNMC ha impuesto una multa total de 80.000 euros a ambas compañías. 

Contra esta resolución podrá interponerse directamente recurso contencioso-administrativo ante la Audiencia Nacional en el plazo de dos meses a partir del día siguiente al de su notificación.

Microsoft/Activision Blizzard, In the Matter of

The Federal Trade Commission authorized an administrative complaint against the proposed merger between Microsoft Corp. and Activision Blizzard, Inc., a video game developer that creates and publishes games such as Call of DutyWorld of WarcraftDiablo, and Overwatch. Microsoft sells the Xbox gaming console and also offers a video game subscription service called Xbox Game Pass, as well as a cloud-based video game streaming service. The agency alleges that the deal would enable Microsoft to suppress competitors to its Xbox gaming consoles and its rapidly growing subscription and cloud-gaming business. The Commission withdrew the matter from adjudication in July 2023, and returned it to adjudication on September 26, 2023.  The evidentiary hearing will commence 21 days after the issuance of the district court’s decision in FTC v. Microsoft.
